Officer / Senior Officer - Company Secretarial

The role will support a full spectrum of company secretarial duties for our Hong Kong-listed company and its subsidiaries with diverse and cross-regional business portfolios, ensuring compliance with statutory and regulatory requirements.

 

Responsibilities:

  • Support the full spectrum of company secretarial duties for listed company and designated subsidiaries, including preparing board and committee meeting papers, minutes, resolutions and assisting with general meetings.
  • Assist in the preparation of annual / interim reports, announcements, circulars and other regulatory disclosures.• Handle statutory filings and regulatory submissions, including annual returns, BVI Economic Substance Reporting, KYC documentation and maintenance of compliance calendars.
  • Support the review of regulatory updates and assist in implementing relevant compliance and governance requirements.
  • Prepare and coordinate documentation relating to changes in corporate structure, directorship, auditor appointments, banking mandates and corporate approval processes, while maintaining statutory records, registers and company secretarial databases in an accurate and timely manner.
  • Coordinate routine compliance matters, including licence renewals, contract approval processes and corporate documentation requirements.
  • Liaise with internal stakeholders, external legal advisers, auditors, registrars, regulators and service providers on company secretarial and governance-related matters.
  • Support corporate transactions, governance initiatives and other ad hoc projects as assigned 

 

Requirements:

  • Minimum 3 years of relevant company secretarial experience gained from sizable Hong Kong listed companies or professional firms; Candidates with more experience may be considered for the Senior Officer role.
  • Degree holder in Corporate Governance, Business Administration, Law or related disciplines.• HKCGI/CGI Associate or student member currently pursuing CGI qualification.
  • Sound knowledge of Hong Kong Companies Ordinance, Listing Rules, Corporate Governance Code and related statutory/compliance requirements.
  • Proficient in Microsoft Office applications; experience with EMS/DMS systems will be an advantage.
  • Good command of written and spoken English, Cantonese and Mandarin.
